ITAD Auctions User Agreement

By registering as a user on the website itadauctions.com (hereinafter "the Website") or by conducting transactions and using services on the Website, you confirm that you have read, understood, and agree to the terms and conditions outlined in this User Agreement, and commit to complying with them.
The term "user" or "client" refers to a legal entity that has registered on the Website. By accepting this User Agreement or by using the Website, the client confirms that they are legally bound by its terms.
1. Scope and Interpretation of the User Agreement
- This User Agreement governs all legal relationships arising from the use of services on itadauctions.com between users and ITAD Auctions OÜ ("ITADAUCTIONS.COM").

- This Agreement is supplemented by:
- applicable EU laws;
- the Website’s Fee & Commission policy (the platform’s only service fee);
- Help Center content and instructions;
- and generally accepted industry practices.
2. General Terms of Service
- ITADAUCTIONS.COM provides a B2B platform allowing users to list products via:
- Auction – Buyers place bids, and the highest valid bid wins.
- Buy Now – Buyers can purchase immediately at a fixed price.
- Make an Offer – Buyers submit offers, and sellers choose whether to accept.
- A sales contract is concluded when a bid wins, a fixed price item is purchased, or an offer is accepted. Bids and offers are binding and cannot be withdrawn.
- ITADAUCTIONS.COM is not a party to sales contracts concluded between users and assumes no legal responsibility for transactions.
- Contracts must be fulfilled within 10 days unless a shorter period is stated in the listing.
- Buyers must pay and collect the goods, and sellers must hand over the goods within the agreed terms.
- All listings are considered EXW (Ex Works). Shipping and handling costs, if any, must be agreed upon in the listing. VAT is not included unless stated.
- Buyers must inspect goods upon receipt. If damaged in transit, the buyer may refuse the shipment and document the issue via photo or video.
- ITADAUCTIONS.COM does not mediate, broker, or represent either party in the transaction unless separately agreed.
- Communication between users and ITADAUCTIONS.COM should be conducted via email or through the platform’s integrated messaging system.
- Users may not modify active listings. If a change is necessary, they must contact support through the chat feature.
3. Client Rights and Obligations
- Users must:
- Register using accurate company and contact information and keep it up to date.
- Use the platform lawfully and not for fraudulent or misleading purposes.
- Provide truthful and accurate product descriptions, images, and data.
- Respect EXW terms — prices exclude VAT and shipping, and buyers are responsible for arranging collection.
- Fulfill all obligations arising from transactions — buyers must pay within seller’s defined terms, and sellers must deliver accordingly.
- Refrain from bidding on their own listings or using other accounts to influence prices.
- Sell to the highest bidder or to the buyer who purchased via Buy Now or whose offer was accepted.
- Not disclose contact details in listings or encourage off-platform transactions.
- Maintain the confidentiality of login credentials. Users are responsible for actions taken via their account.
- Contact support via platform chat to request changes to active listings.
- Not modify listing details after a bid is placed unless no bids have been made.
- By using the Website, users confirm they:
- Have legal capacity to use the platform and enter binding contracts.
- Understand all transactions are user-to-user, not involving ITADAUCTIONS.COM.
- Will declare and pay any taxes resulting from transactions.
- Accept ITADAUCTIONS.COM’s right to process their data as per the Privacy Policy.
- Accept the platform’s sole service fee as outlined in the Fee & Commission page.
- Users will receive electronic invoices for service fees. Invoices must be paid within 7 days. Late payments incur a 0.066% daily interest and may be forwarded to collections after 4 weeks.
- Complaints regarding sales must be submitted within 60 days. If a buyer fails to complete a transaction, and the issue is verified, the commission may be refunded to the seller.
4. ITADAUCTIONS.COM Rights and Obligations
- ITADAUCTIONS.COM may restrict or terminate user access, remove content, or suspend accounts if the user:
- violates this User Agreement or platform rules,
- provides false or misleading information,
- engages in abusive or inappropriate behavior,
- or for other substantial reasons.
- ITADAUCTIONS.COM may monitor and investigate activity on the platform using lawful means.
- Content that violates applicable laws, this Agreement, or good practices may be removed without notice.
- The data structure and layout of the platform may be updated to improve usability, provided that listing content is not altered.
- Users may dispute decisions by emailing [email protected].
- Invoices for service fees are issued electronically; paper copies are available upon request.
- If a user backs out of a confirmed purchase or sale, or otherwise breaches the obligations described in section 3, ITADAUCTIONS.COM may:
- impose a contractual penalty of up to 10% of the final offer price (minimum €50); and
- demand reimbursement for service-related costs (excluding the platform commission).
5. Changes to the Agreement
- ITADAUCTIONS.COM may modify this User Agreement, the Fee & Commission page, or other platform rules at any time to improve services or ensure compliance.
- Users will be notified of changes via announcements on the Website.
- Changes take effect upon publication. Continued use of the Website constitutes acceptance of the revised terms.
- If a user disagrees with changes, they may stop using the services and close their account, provided all obligations are fulfilled.
6. Liability
- The Website and its services are provided on an “as is” and “as available” basis. ITADAUCTIONS.COM does not guarantee uninterrupted or error-free operation.
- To the extent permitted by law, ITADAUCTIONS.COM disclaims all warranties, express or implied.
- ITADAUCTIONS.COM is not liable for:
- platform downtime, service interruptions, or access issues,
- loss of data or content, or failed uploads,
- third-party conduct, including users’ non-compliance or fraud,
- viruses, malware, or technical failures resulting from platform usage,
- or damages caused by force majeure events (e.g., natural disasters, war, power outages, etc.).
- Users are fully liable for damages caused by violations of this Agreement and must indemnify ITADAUCTIONS.COM and its partners for any related losses or legal costs.
7. Duration and Termination
- This User Agreement remains valid indefinitely unless terminated by either party.
- ITADAUCTIONS.COM may terminate the agreement and restrict access if the user violates the terms of this Agreement and fails to correct the issue after receiving a reasonable warning.
- The user may terminate the agreement at any time by closing their account, provided that:
- there are no outstanding obligations toward ITADAUCTIONS.COM or other users, and
- at least 60 days have passed since their last completed transaction.
- Inactive accounts that have not been accessed for more than 7 years may be deleted. A warning will be sent to the user’s registered email before deletion. If no login occurs within the given timeframe, the account will be removed.
8. Complaints Resolution Under the Regulation on Online Intermediation Services
- Users may submit complaints to ITADAUCTIONS.COM via its internal complaints handling system (the “System”) at no cost.
- Complaints may be submitted if:
- ITADAUCTIONS.COM has allegedly failed to fulfill a legal obligation that affects the user,
- there are technical issues directly related to the provision of platform services, or
- ITADAUCTIONS.COM’s actions related to service provision have negatively impacted the user.
- Complaints must be submitted by email to [email protected].
- All complaints will be reviewed fairly and promptly, and users will be informed of the outcome via email.
9. Final Provisions
- This User Agreement is governed by applicable laws of the European Union.
- Any disputes will first be attempted to resolve through negotiations between the user and ITADAUCTIONS.COM.
- If no agreement is reached, the user may refer to:
- the Consumer Disputes Commission,
- the EU’s ODR platform: ec.europa.eu/consumers/odr, or
- the Harju County Court, unless the consumer has the right to file in their local jurisdiction.
